Mutual Non-Disclosure Agreement

Read the agreement, enter your full legal name and project name, then add your initials. Both sides are bound by the agreement. You can download your completed copy immediately.

Between OddityOps (a trading name of Daka International Limited) and the inventor named above. Effective date: the UTC date and time at which the website successfully records the Inventor’s electronic acceptance of this agreement version.

1. Purpose

The Parties wish to explore a potential product-development engagement (the “Purpose”) — including OddityOps reviewing, scoping, prototyping and/or arranging manufacturing or licensing for the Inventor’s concept, [project name entered above] (the “Project”). To do this, each Party may share confidential information with the other.

2. Confidential Information

“Confidential Information” means any non-public information disclosed by one Party (the “Discloser”) to the other (the “Recipient”), in any form, that is marked confidential or that a reasonable person would understand to be confidential — including the Inventor’s concept, designs, drawings, CAD files, specifications, prototypes, know-how and business plans; and OddityOps’ pricing, methods, supplier relationships, processes and templates. It does not include information that: (a) is or becomes public through no fault of the Recipient; (b) the Recipient already lawfully held without a duty of confidentiality; (c) is independently developed without use of the Discloser’s Confidential Information; or (d) is rightfully received from a third party without restriction.

3. Obligations of the Recipient

The Recipient will: (a) use the Confidential Information only for the Purpose; (b) protect it with at least the same care it uses for its own confidential information, and no less than reasonable care; (c) disclose it only to its employees, contractors and advisers who need it for the Purpose and who are bound by confidentiality obligations at least as protective as these; and (d) not reverse-engineer, sell, publish or commercially exploit the Discloser’s Confidential Information outside the Purpose.

4. No licence, no transfer of ownership

Nothing in this Agreement transfers any ownership, intellectual-property right, or licence. The Inventor’s idea remains the Inventor’s. Any IP created specifically for the Inventor during a paid engagement is governed by the separate signed quotation / services agreement — not this NDA.

5. Compelled disclosure

If the Recipient is legally required to disclose Confidential Information, it may do so, provided it gives the Discloser prompt written notice (where legally permitted) and discloses only what is legally required.

6. Term

This Agreement starts on the Effective date and continues for two (2) years. Confidentiality obligations survive for three (3) years after disclosure of the relevant Confidential Information; trade secrets remain protected for as long as they remain trade secrets under applicable law.

7. Return or destruction

On written request, the Recipient will promptly return or securely destroy the Discloser’s Confidential Information, except for one archival copy retained for legal/compliance purposes and copies in routine system backups, which remain subject to this Agreement.

8. No obligation; no warranty

This Agreement does not obligate either Party to enter into any further agreement, and either Party may end discussions at any time. Confidential Information is provided “as is” without warranty of accuracy or completeness.

9. Remedies

The Parties agree that a breach may cause irreparable harm for which money damages are inadequate, and that the non-breaching Party may seek injunctive relief in addition to any other remedy available at law.

10. Governing law

This Agreement is governed by the laws of the State of Texas, United States of America, without regard to its conflict-of-laws rules. The Parties submit to the exclusive jurisdiction of the state courts located in Dallas County, Texas, and the federal courts located in Dallas County, Texas, for disputes arising out of or relating to this Agreement.

11. Entire agreement

This is the entire agreement between the Parties on confidentiality and supersedes any prior understanding on this subject. It may be amended only in writing signed by both Parties. If any provision is unenforceable, the rest remains in effect. It may be signed electronically and in counterparts.

OddityOps (a trading name of Daka International Limited) offers to enter into this mutual agreement on the terms in this document. OddityOps agrees to be bound when the Inventor enters their full legal name and initials, affirmatively accepts these terms and submits acceptance, and the website successfully records that acceptance. No separate OddityOps countersignature or SignNow invitation is required.
